Terms of Service

1. Acceptance of terms

By accessing or using our website and services, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, you may not access or use our services.

2. Description of services

HyperBrain Labs provides SaaS and mobile MVP development services, including but not limited to:

• SaaS MVP development
• Mobile app development
• UI/UX design
• Growth partner retainer
• Custom enterprise solutions

3. Client portal accounts

Some engagements include access to a client portal. Where an account is issued to you, you must provide accurate and current information, you are responsible for safeguarding your credentials and for activity under your account, and you agree to notify us immediately of any unauthorized use. Not every engagement involves an account.

4. Intellectual property and ownership

HyperBrain Labs retains rights to its website content, marketing materials, and its pre-existing internal tooling, libraries, and templates.

All work product created for you under an engagement — source code, designs, documentation, and infrastructure configuration — is your property. Repositories, cloud accounts, and third-party service accounts are created in your name and under your control from the first day of the engagement. Where a project agreement sets out milestone-based delivery, ownership of each delivered milestone vests on delivery of that milestone, not on final payment.

Where we use our pre-existing internal tooling or templates within your deliverable, you receive a perpetual, worldwide, royalty-free licence to use, modify, and distribute that material as part of your product.

5. Material you send us

Briefs, designs, data, credentials, and documents you send us remain yours. We use them only to scope and deliver your project, and we grant them no wider licence than that.

We do not publish, distribute, or reuse your material, and we will not name you or your client publicly as a client without your written permission. We are glad to sign your NDA before you send anything sensitive.

You confirm you have the rights necessary to share any material you send us.

6. Payment terms

Payment terms are set out in your project agreement. International projects are invoiced in USD on a milestone basis. Unless your agreement says otherwise, invoices are due within seven days of receipt, and we may pause work on materially overdue accounts after written notice.

7. Refunds and cancellation

Refunds and cancellations are governed by our Refund Policy and by the specific terms of your project agreement, which take precedence where the two differ. Milestones that have been delivered and accepted are not refundable.

8. Limitation of liability

In no event shall HyperBrain Labs, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of, or inability to access or use, our services
• Any conduct or content of any third party on our services
• Any content obtained from our services
• Unauthorized access, use, or alteration of your transmissions or content

9. Disclaimer

Our services are provided on an “as is” and “as available” basis. HyperBrain Labs expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Data privacy

Your use of our services is also governed by our Privacy Policy. We do not collect or use your data for marketing purposes without your explicit consent.

11. Governing law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law provisions. The courts of Gurugram, Haryana have exclusive jurisdiction over any dispute arising from these Terms, except where your project agreement specifies a different forum.

12. Changes to terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using our services.
